Terms of Service
Welcome to Gainloop. These Terms of Service ("Terms") govern your use of the Gainloop application and related services (the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of a minor (such as your child), you accept these Terms on their behalf and represent that you have the legal authority to do so.
1. The Service
Gainloop is a software application that helps tennis players and their families capture, organize, and review developmental data over time. The Service includes features for capturing content, generating analytical observations, synthesizing developmental narratives, and integrating with third-party physiological data providers.
The Service is provided as a tool for personal use. It is not a substitute for professional coaching, medical advice, physical therapy, sports psychology, or any other professional service. Any observations, recommendations, or synthesis output generated by the Service are informational and should not be relied upon as professional guidance.
2. Accounts
To use the Service, you must:
- Be at least 18 years old, or have a parent or legal guardian who creates and manages an account on your behalf.
- Provide accurate account information and keep it current.
- Maintain the confidentiality of your account credentials.
- Notify us promptly if you suspect unauthorized access to your account.
You are responsible for all activity that occurs under your account. You may not share your credentials or allow others to access your account.
Junior player accounts
Accounts for players under 18 must be created and managed by a parent or legal guardian. The parent or guardian is the account owner and is responsible for the account's use, the content captured, and compliance with these Terms.
3. Your content
You retain ownership of all content you capture, upload, or provide to the Service ("Your Content"). This includes video clips, audio recordings, written reflections, match data, body data, and similar material.
By using the Service, you grant Gainloop a worldwide, non-exclusive, royalty-free license to host, store, process, analyze, and display Your Content solely for the purpose of providing the Service to you. This license terminates when you delete the content or close your account, except where retention is required by law or for legitimate operational purposes (such as backup retention for a limited period).
You represent that:
- You own or have all necessary rights to Your Content.
- Your Content does not infringe any third-party rights (copyright, privacy, publicity, or otherwise).
- For any content depicting individuals other than yourself, you have appropriate consent to capture and process that content. For minors, this includes parental or guardian consent.
- Your Content does not violate any applicable law.
4. Service-generated content
The Service generates content based on Your Content, including arcs, threads, plans, summaries, and answers to questions ("Service-Generated Content"). Gainloop owns the Service-Generated Content. You may use Service-Generated Content for your personal, non-commercial use as part of your use of the Service.
The Service-Generated Content is derived from Your Content using automated analysis, including artificial intelligence. Service-Generated Content may contain errors, omissions, or interpretations that do not accurately reflect reality. You should evaluate Service-Generated Content with appropriate skepticism and not rely on it for important decisions without independent verification.
5. Acceptable use
You agree not to:
- Use the Service to capture or process content depicting individuals without their consent (or, for minors, without parental consent).
- Upload content that is unlawful, infringing, defamatory, obscene, or harmful.
- Use the Service for commercial purposes without explicit written permission from Gainloop.
- Attempt to reverse-engineer, decompile, or extract the source code of the Service.
- Attempt to gain unauthorized access to accounts, systems, or data not belonging to you.
- Use automated tools to interact with the Service in ways that exceed normal user behavior.
- Interfere with the operation of the Service or other users' use of the Service.
- Use the Service to harass, harm, or invade the privacy of others.
- Misrepresent your affiliation with Gainloop or any other party.
We may suspend or terminate accounts that violate these provisions, with or without notice.
6. Teams
The Service supports team membership, where multiple users can access a single player's data with different roles (owner, contributor, coach). Team membership is established through invitation and acceptance.
- The team owner is responsible for inviting and removing team members.
- Team members agree that other team members will have access to team content per the roles assigned to them.
- Gainloop is not responsible for disputes between team members. Team owners can remove members at any time.
- If a team member's account is terminated for any reason, their access to team content is revoked. Content they contributed remains with the team unless the team owner removes it.
7. Connected services
The Service may offer integration with third-party services (such as Whoop). When you connect a third-party service:
- You authorize Gainloop to exchange data with that service per its standard authorization flow.
- Your use of the third-party service remains subject to its own terms and privacy policy.
- Gainloop is not responsible for the availability, accuracy, or behavior of third-party services.
- You can disconnect any third-party service at any time through the Service's settings.
8. Service availability and changes
We aim to provide a reliable Service but make no guarantees about uptime, availability, or specific performance levels. We may:
- Modify, suspend, or discontinue features or the entire Service at any time, with or without notice.
- Perform maintenance that temporarily affects availability.
- Set limits on usage, storage, or other resources.
We will provide reasonable notice of significant changes where practical, but we are not obligated to do so for operational matters.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF INFORMATION.
GAINLOOP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS. GAINLOOP DOES NOT WARRANT THE ACCURACY OR RELIABILITY OF SERVICE-GENERATED CONTENT OR ANY OTHER INFORMATION PROVIDED THROUGH THE SERVICE.
THE SERVICE IS NOT MEDICAL ADVICE, COACHING ADVICE, OR ANY OTHER PROFESSIONAL ADVICE. CONSULT QUALIFIED PROFESSIONALS FOR DECISIONS RELATED TO HEALTH, TRAINING, OR DEVELOPMENT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAINLOOP AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
GAINLOOP'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID GAINLOOP IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY UNDERLYING THE CLAIM, EVEN IF GAINLOOP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Indemnification
You agree to indemnify, defend, and hold harmless Gainloop and its operators from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any rights of another party (including rights of individuals depicted in Your Content).
- Your Content.
12. Termination
You may close your account at any time by contacting us or using the account closure feature in the Service.
We may suspend or terminate your account at any time if:
- You violate these Terms.
- We are required to do so by law.
- We discontinue the Service.
- For any other reason, with reasonable notice where practical.
Upon termination:
- Your access to the Service ends.
- Your Content may be deleted per the data retention practices described in our Privacy Policy.
- Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnification) will survive.
13. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and, where appropriate, by other means (such as email or in-app notification). The "Last updated" date at the top indicates when the Terms were last revised.
Your continued use of the Service after changes become effective indicates your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and close your account.
14. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any disputes arising from or related to these Terms or the Service will be resolved in the courts located in California, and you consent to the personal jurisdiction of those courts. To the extent permitted by law, you and Gainloop waive any right to a jury trial.
If you are a consumer in a jurisdiction that provides mandatory consumer protections, nothing in these Terms diminishes those protections.
15. General
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Gainloop regarding the Service.
If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any provision is not a waiver of our right to do so later.
These Terms may not be assigned by you without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
